  1. Application of these Terms and Conditions

1.1. These Terms and Conditions (Terms) contain the terms on which you may use our services which are accessible via https://community.transpireglobal.com/ and https://transpireglobal.com/ (collectively referred to as the Platform)

1.2. These Terms apply to individuals using the Platform (Individuals). References to “you” “your” or other similar terms are construed accordingly.

1.3. The terms “we”, “us”, or other similar terms when used in these Terms mean Transpire Global (a company registered in England; Company Number: 07542457; Registered Office: 55 Woodhill Road, Bristol BS20 7EY; ICO Registration number: ZA158846)

1.4. You agree that by accessing the Platform, you have read, understood, and agreed to be bound by all of these Terms of Use. If you do not agree with all of these terms, then you are expressly prohibited from using the Platform and you must discontinue use immediately.

  1. Our Services

2.1. The Platform is a digital platform hosting the profiles of Transpire Members; online courses; virtual event resources; and various faculty, forum and discussion thread content, facilitating the membership of Transpire Members.

2.2. Transpire Global moderates content on the Platform manually. We are responsible for content posted by Transpire Members that causes offense only after it has been reported directly to Transpire Global via email. For a description of acceptable and unacceptable conduct on the Platform consult our Acceptable Use Policy.

2.3. We may remove or edit your content at any time without notice if in our reasonable opinion we consider such content harmful or in breach of these Terms. If we remove or edit any such content, we may also suspend or disable your account and report you to the authorities.

2.4. All services, resources and courses are subject to availability. We reserve the right to discontinue any services, resources, or courses at any time for any reason. Prices for all services, resources and courses are subject to change.

2.5. For Terms specific only to individuals belonging to a Stepping Stones cohort, please see Term 15.

  1. Intellectual Property Rights

3.1. Unless otherwise indicated, the Platform is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Platform and the trademarks, service marks, and logos contained therein (collectively referred to as “Content”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the United States, international copyright laws, and international conventions.

3.2. This Content is provided for your information and personal use only. Except as expressly provided in these Terms of Conditions, no part of the Platform and no Content may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

3.3. Provided that you are eligible to use the Platform, you are granted a limited license to access and use the Platform and to download or print a copy of any portion of the Content to which you have properly gained access solely for your personal, non-commercial use. We reserve all rights not expressly granted to you in and to the Platform and the Content.

  1. Membership

4.1. Membership of Transpire Global is open to any Individuals who are seeking to be board-ready or who are already serving on one or more boards.

4.2. Your access to the Platform may be terminated at Transpire Global’s discretion should you fail to adhere to the expectations outlined in the Acceptable Use Policy.

4.3. Your access to the Platform may be terminated at Transpire Global’s discretion should you miss a payment except in exceptional circumstances discussed directly with Tony Stubbs, CEO and Founder.

4.4. For further Terms specific only to Members belonging to a Stepping Stones cohort, please see Term 15.

  1. Your Member Profile

5.1 The details you provide during registration, and any information you subsequently choose to add to your profile, can be accessed and updated by you when logged into your Transpire Connect account via the Profile menu.

5.2. Your Account Information is used to help manage your account and the services we provide to you and is never shared with anyone outside Transpire Global.

  • 5.2.1. Transpire Members are advised that information they add to their account and marked by them as ‘Public’ can be viewed by all Transpire Members.
  • 5.2.2. If you are a Stepping Stones cohort member, information from your profile that is marked as ‘Public’ may be shared with the Stepping Stones Faculty at Transpire Global’s discretion.
  1. Removal of Content

6.1. We reserve the right to reject, remove or edit any Individual’s Account Information, Profile Information or application content (together Content) from the Platform, which in our reasonable discretion:

  • 6.1.1. violates our Acceptable Use Policy.
  • 6.1.2. is contrary to local, national or international laws including but not limited to laws relating to employment, equal employment opportunity and employment eligibility requirements, data protection/privacy, data access and use and intellectual property;
  • 6.1.3. is found to be a misrepresentation relating to the Individual’s credentials;
  • 6.1.4. is contrary to our best interests; or
  • 6.1.5. we believe, in our discretion, should be removed for any other reason.

 

6.2. If we remove or edit an Individual’s Content on our Platform, we shall contact the Individual, informing them of the reasons we have done so where possible.

  1. Member Usernames and Passwords

Members are responsible for maintaining the confidentiality of their registered user name and password. We may deny access to the Platform if we reasonably believe that a member’s login details are being (or may be) used by an unauthorised person or that the member is breaching these Terms.

  1. Your Use of Information

8.1. When you use the Platform you agree that:

  • 8.1.1. you have all necessary rights to the Content you provide to us including that the details you provide are true, accurate, complete and up to date.
  • 8.1.2. In relation to any recommendations you make to us, you personally know the individual (or individuals) you are recommending, and have obtained their express permission or consent to share their details (including any personal information) with us so that we may contact them about our services;
  • 8.1.3. the Content you provide shall not:
    be false, inaccurate, misleading or fraudulent;
    infringe any third party’s copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy;
    be in breach of any applicable law or regulation (including, but not limited to, those governing consumer protection, unfair competition, anti-discrimination, data protection/privacy or false advertising);
    be defamatory, libellous, unlawfully threatening or unlawfully harassing;
    contain any viruses, trojan horses, worms, time bombs, or other computer programming routines that may damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information; or
    link directly or indirectly to, or include descriptions of, services that are or can be deduced to be direct competitors of Transpire Global

 

8.2. You will use our website in accordance with our Acceptable Use Policy.

  1. Third Parties

9.1. If Transpire Global shares your information with a Third Party – in the case of suggesting you for a suitable placement or similar – we will contact you directly ahead of doing so to solicit your explicit permission.

9.2. The Platform may contain (or you may be sent via the Platform) links to other websites (£Third-Party Websites”) as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other content or items belonging to or originating from third parties (“Third-Party Content”). Such Third-Party Websites and Third-Party Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for any Third Party Websites accessed through the Platform. Inclusion of, linking to, or permitting the use or installation of any Third-Party Websites or any Third-Party Content does not imply approval or endorsement thereof by us.

  1. Data Protection

We are committed to protecting your privacy and by agreeing to these Terms you acknowledge that you have read and understood our Privacy Policy and that you will abide by, and agree with, its terms.

  1. Fees, Purchases & Payment

11.1. We accept the following forms of payment: Bank Transfer; Visa; Mastercard; American Express; Stripe; PayPal.

11.2. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Platform. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed. Sales tax will be added to the price of purchases as required by local tax laws. Prices are subject to change at any time. All payments shall be in GBP, USD, Euro.

11.3. We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment.

11.4. We reserve the right to refuse any order placed through the Platform.

11.5. All sales are final; no refund will be issued. There is a sole exception to this covered in 11.5.1 and 15.3.

  • 11.5.1. You have the right to cancel your Stepping Stones programme registration by phone or e-mail within 2 working days from the date you first registered for the Course and any part of the Fee already paid will be refunded. For further Terms specific only to individuals belonging to a Stepping Stones cohort, please see Term 15.

  1. Disputes

You expressly agree that in the event of any dispute between you and any other user of the Platform, in the first instance you will attempt to resolve the dispute directly with the other user acting in good faith at all times. In the event that you are unable to resolve the dispute we will act as mediator and you agree to be bound by our decision.

  1. Our Right to Vary these Terms

We have the right to revise and amend these Terms from time to time to reflect changes in our business, changes in technology, changes in payment methods, changes in relevant laws and regulatory requirements and changes in our system’s capabilities. If we decide to change these Terms, we will post those changes on our website, at which point they will become effective. By continuing to use the Services after the effective date of any changes, you agree to be bound by the modified terms. Please print a copy of these Terms for future reference.

  1. Stepping Stones

The following Terms apply only to those who belong to a Stepping Stones cohort.

15.1. Places on the Stepping Stones programme are subject to availability and demand. If there are insufficient numbers or exceptional circumstances, Transpire Global reserves the right to postpone or cancel a cohort. You will be notified as soon as reasonably practicable of any such postponement or cancellation.

15.2. If you receive confirmation that you have secured a place on the Stepping Stones programme, you must pay the agreed Fee within 25 days of receiving confirmation.

15.3. You have the right to cancel your Stepping Stones programme registration by phone or e-mail within 2 working days from the date you first registered for the Course and any part of the Fee already paid will be refunded.

15.4. It may be necessary for Transpire Global to alter the content, format, tutors, venue or timing of Stepping Stones programme components. You will be notified of any such changes as soon as reasonably practicable.

  • 15.4.1. You will not be entitled to a refund if you cannot attend the rearranged dates. The sole exception to this is if, in the case of three or more date changes being made to the course schedule by Transpire Global after the official start date of the course (the “Meet and Greet” live session), you cannot attend three or more of the rearranged dates, provided you have provided evidence confirming that you could attend the original dates.

 

15.5. Access to Transpire Connect is granted to you for the period of the programme, provided always that you comply with the above Terms and Acceptable Use Policy.

15.6. The date on which the current cohort will be removed from the Stepping Stones online course and the Stepping Stones faculty is available in the Course Overview in the Stepping Stones online course on Transpire Connect. We have the right to revise and amend these dates at any time; you will be notified directly via email or via the Stepping Stones faculty feed.

15.7. You must complete the following by the date given in the Course Overview. Failure to complete any one of the following components by the date given will prevent you from becoming a Stepping Stones Alumni and receiving your CPD Certificate:

  • Stepping Stones online course
  • Board Career Plan
  • High-Performing NED’s Toolkit ®

 

15.8. Deferral – if you need to defer to a future cohort, you must inform Transpire Global directly at the earliest possibility. Delegates can defer once at no charge. Any subsequent deferrals will attract a fee of £125.00.

15.9. Your right to be considered for any placement offered by a Third Party is entirely at the discretion of Transpire Global.

15.10. You must not make video or audio recordings of the whole (or substantially the whole) of any live session on the Stepping Stones programme.

15.11. Content provided in the online course is intended for personal use and must not be shared for commercial purposes. You may not copy any content either in whole or in part, by any method whatsoever, without Transpire Global’s prior written permission.
